Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the Clawgate gateway, dashboard, and related services (the “Service”), provided by Virstack (“we”, “us”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Clawgate is a gateway that sits between Claude Code (and other Anthropic-API clients) and an AI inference provider. It authenticates requests using issued API keys, enforces the quotas, budgets, and model policies you configure, records usage for billing and analytics, and forwards requests to that provider. Inference is performed by a third-party AI provider and is subject to that provider’s applicable terms.

3. Accounts & API keys

You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under them. Notify us promptly of any unauthorized use. You must provide accurate information and keep it up to date.

For certain key types, an organization administrator may optionally provide a Claude subscription token (generated with claude setup-token) so the gateway can connect to the AI provider on a user’s behalf. If you choose to provide such a token, you are solely responsible for ensuring you are authorized to use that subscription in this way and for compliance with Anthropic’s applicable terms, including the Anthropic Consumer Terms of Service and Usage Policy, which restrict sharing subscription credentials. You may replace or remove a stored token at any time and must keep it current — an expired or revoked token will cause requests to fail until it is updated. A standard Clawgate inference key does not involve storing a personal subscription credential.

4. Acceptable use

You agree not to misuse the Service, including by: attempting to circumvent quotas, budgets, or access controls; sharing API keys outside their intended scope; providing or storing a subscription credential you are not authorized to use, or in a manner inconsistent with the credentialing provider’s terms; reselling access without authorization; or using the Service to violate applicable law or the terms of underlying providers (including Anthropic and AWS).

5. Fees & billing

Paid plans are billed according to the pricing in effect for your plan. Token costs are passed through at the AI provider’s rates with a labelled platform fee, plus any applicable per-seat fees. Budgets you configure act as hard stops. Failed requests are not billed, and cache savings are passed through. Fees are non-refundable except where required by law. We may change pricing on reasonable notice.

6. Quotas, budgets & availability

The Service enforces the limits you configure; once a limit is reached, affected requests are blocked until the limit resets or is changed. We aim to provide a reliable Service but, except where a separate SLA applies to your plan, the Service is provided on an “as available” basis.

7. Data

Our handling of data is described in our Privacy Policy. You retain ownership of your content. You grant us the limited rights necessary to operate the Service (for example, to route requests and compute usage and abuse signals).

8. Intellectual property

The Service, including its software, design, and trademarks (including “Clawgate” and “Virstack”), is owned by us or our licensors and is protected by applicable laws. These Terms do not grant you any rights to our trademarks.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that AI outputs are accurate, complete, or fit for any particular use.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or AI/token spend. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the three months preceding the claim.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. Provisions that by their nature should survive termination will survive.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email where appropriate. Continued use after changes take effect constitutes acceptance.
